These Terms of Use (“Terms”) govern your access to and use of the VDX Valiant website and related inquiry channels. By using this website or contacting us through it, you agree to these Terms.

VDX Valiant Ltd (“VDX Valiant,” “we,” “us,” or “our”) is a company registered in Cyprus, with registered office at Nissi 68, Agia Napa, 5330, Famagusta, Cyprus. We provide B2B custom enterprise software design, architecture, and delivery services under separate written contracts. These Terms cover the marketing website and pre-contract communications — not the full terms of a software delivery engagement.

1. Informational website

This website is provided for general informational and marketing purposes. Descriptions of services, process, pricing approach, timelines, and capabilities are illustrative. They do not constitute an offer, guarantee, or commitment to perform work on specific terms unless and until set out in a signed agreement.

2. No obligation until a signed contract

Requesting a scoped proposal, exchanging emails, attending discovery calls, or receiving a draft proposal does not create a binding services engagement. A binding obligation to design, build, or deliver software arises only when both parties execute a written agreement (such as a statement of work, master services agreement, or equivalent) that sets out scope, price, deadlines, and other commercial terms.

Proposals, estimates, and draft schedules are non-binding until incorporated into a signed contract, and may be withdrawn or revised at our discretion before signature.

Our website and services are intended for businesses and professional buyers of enterprise software services. You represent that you are using this site in a commercial or professional capacity and have authority to inquire on behalf of your organization where you do so.

Discovery conversations regarding potential projects typically begin under NDA. Until an NDA is in place, do not send highly sensitive trade secrets or regulated data unless you accept the risk of ordinary email transmission. Once an NDA or services agreement is signed, confidentiality will be governed by that document, which prevails over these Terms to the extent of any conflict.

You retain ownership of your pre-existing ideas and materials. We will not claim ownership of your confidential project concepts solely because you described them in an inquiry.

6. Intellectual property

Website content. The design, text, graphics, logos, and other materials on this website are owned by VDX Valiant or its licensors and are protected by intellectual property laws. You may view and share links to public pages for legitimate business evaluation; you may not copy, modify, or redistribute site content for commercial purposes without our prior written permission.

Deliverables under contract. Ownership of source code, documentation, and intellectual property created under a paid engagement is governed by the signed services agreement. Our standard commercial model contemplates full IP transfer to the client upon delivery as set out in that agreement — these Terms do not themselves effect any IP assignment.

The website may reference or link to third-party resources. We are not responsible for third-party sites, services, or content. Your use of third-party services is subject to their own terms.

8. Disclaimers

THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not warrant that the site will be uninterrupted, error-free, or free of harmful components, or that any information on the site is complete or current for your specific situation.

9. Limitation of liability

To the maximum extent permitted by applicable law, VDX Valiant and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of this website or reliance on its content.

Our aggregate liability arising out of or related to these Terms or the website will not exceed one hundred euro (€100), except where liability cannot be limited under applicable law (including liability for death or personal injury caused by negligence, or for fraud).

Liability for contracted software delivery services is governed exclusively by the signed services agreement for that engagement, not by these website Terms.

Our processing of personal data in connection with this website and inquiries is described in our Privacy Policy.

11. Changes

We may update these Terms from time to time by posting a revised version on this page and updating the “Last updated” date. Continued use of the website after changes become effective constitutes acceptance of the revised Terms where permitted by law.

12. Governing law

These Terms are governed by the laws of the Republic of Cyprus and applicable European Union law, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws. Courts of competent jurisdiction in Cyprus shall have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer protections that may apply (our services are directed to businesses).
